Strategic Consulting Contract:
This consulting contract (“Contract”) is entered into by and between Valicia France (“Consultant”) and “Client”.
1. Description of Services
Consultant agrees to provide the following services to Client:
- Strategy Session/Clarity Call to discuss brand messaging, copy and content writing strategy, and basic marketing strategies in alignment with values, personalities, and season in business.
- Details as outlined in the client proposal.
2. Compensation
The fee for the Strategy Session/Clarity Call is presented in the Booking Calendar, Public Proposal, or customized proposal, and is payable in full prior to the start of the Strategy Session/Clarity Call.
3. Confidentiality
Consultant and Client acknowledge and agree that the Strategy Session/Clarity Call may involve the disclosure of confidential and proprietary information, including business and personal information. Consultant agrees to keep all such information confidential and to not disclose such information to any third party, except as required by law.
4. Intellectual Property
Client acknowledges and agrees that all materials provided by Consultant during the Strategy Session/Clarity Call, including any documents, reports, or recommendations, are the intellectual property of Consultant and may not be shared, reproduced, or distributed without the express written consent of Consultant.
5. Limitation of Liability
Client acknowledges and agrees that Consultant shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or related to the Strategy Session/Clarity Call, including but not limited to, lost profits, lost revenue, or loss of business or goodwill.
6. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
7. Entire Agreement
This Agreement constitutes the entire understanding between Consultant and Client, and supersedes all prior discussions, negotiations, and agreements between the parties.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of North Carolina, USA.
9. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through mediation in accordance with the rules of Consultants mediation provider, or through binding arbitration in accordance with the rules of the American Arbitration Association.
9. Cancellation/Refund Policy
Client may cancel and reschedule booked appointments at any time prior to date of the pre-scheduled consultation. Due to the considerably discounted cost of these consultations to support accessibility and affordability, all purchased bookings are non-refundable.
By paying the fee for this Clarity Call / Strategy Session, I am confirming that I have read this contract in it’s entirety and agree to its terms.
